How to optimize taxes in Swiss business succession?

Alain Walder, M.A. HSG · ValIndex|Published January 2026

Official Position

Proper tax structuring can save CHF 500,000 to 5,000,000 on a typical Swiss SME succession. The tax-free capital gain on private share sales is the cornerstone, but numerous optimization levers exist beyond this fundamental advantage. ### Technical Explanation #### Strategy 1: Share Deal Preservation (Primary) Private capital gains are tax-free under LIFD Art. 16.3. The entire sale price, minus your original investment (nominal share capital), is tax-free. For a CHF 5M sale, this saves CHF 1-2M vs. an asset deal structure. Key risk: Indirect Partial Liquidation (IPL). Mitigate by: * Obtaining a pre-closing tax ruling * Including IPL indemnity clauses in the purchase agreement * Ensuring the buyer's financing does not depend on target company distributions #### Strategy 2: Pre-Sale Dividend Extraction Before the sale, extract 'excess cash' as a dividend. While the dividend is taxed (~35% income tax + partial Teilbesteuerung relief), it reduces the company's value dollar-for-dollar, meaning the tax-free capital gain is lower BUT you've already extracted the cash. Net effect depends on cantonal Teilbesteuerung rates. #### Strategy 3: Holding Company Structure Transfer operating company shares to a personal holding company (AG or GmbH) before the sale: * Holding receives sale proceeds tax-free (participation exemption, DBG Art. 28) * Funds can be reinvested without personal income tax * Distribution to individual is deferred and can be optimized over years * Warning: Must be established 5+ years before sale to avoid tax avoidance claims #### Strategy 4: Pillar 2 / 3a Optimization * Maximize BVG contributions in years before exit to reduce taxable income * Consider voluntary pension buy-ins (Einkäufe) — deductible against income * Time the sale and pension withdrawal to different tax years #### Strategy 5: Cantonal Arbitrage If flexible on personal domicile, moving to a low-tax canton (Zug, Schwyz, Nidwalden) before receiving sale proceeds can reduce overall tax burden by 3-5% of total transaction value. #### Strategy 6: Earn-Out Tax Treatment Structure earn-out payments as 'additional purchase price' (not bonus or salary) to maintain tax-free capital gain treatment.

Rationale & Context

The tax advisor must be engaged BEFORE the M&A advisor, not after. We've seen sellers sign Letters of Intent for asset deals, only to discover after the fact that they've committed to a structure that costs CHF 1M in unnecessary taxes. The tax structure must be locked in before the first buyer meeting. Our standard engagement begins with a Tax Structure Optimization Workshop where we model 3-4 alternative structures, quantify the tax impact of each, and obtain preliminary tax authority guidance before going to market. The cost of this workshop (CHF 5,000-10,000) typically generates 100× return in tax savings.
