Il dibattito svizzero sulla successione si basa di solito su sondaggi: una quota di proprietari dichiara di voler andare in pensione, una quota dichiara di non avere un successore. Questo rapporto usa un'altra fonte. Ogni SA e Sagl svizzera iscrive il proprio consiglio e il regime di firma nel registro di commercio, e quelle iscrizioni dicono esattamente chi può impegnare giuridicamente la società. È un fatto, non un'intenzione.
Letto così, il registro produce un numero scomodo. Su 49'471 società svizzere revisionate, 11'672 — il 23,6% — non avrebbero più una combinazione di firme valida il giorno in cui il firmatario principale venisse a mancare o perdesse la capacità di agire. Non meno opzioni. Nessuna. Gli stipendi non potrebbero essere pagati, i contratti non firmati, e il mandato bancario resterebbe bloccato fino alla nomina giudiziaria di un sostituto.
L'esposizione non è distribuita in modo uniforme. Si concentra nella Svizzera romanda, nei consigli di piccole dimensioni e in alcuni settori in cui il fondatore non ha mai aggiunto un secondo firmatario.

01One in four audited companies cannot sign without one specific person
The register records, for every board member and every commercial agent, whether they sign individually or jointly. Combining those rules shows which companies survive the loss of any one signatory and which do not. 11,672 of 49,471 audited companies (23.6%) fail that test: either a single director holds the entire signing authority, or the only individual signatory is paired with someone who can sign only jointly, or a two-person board must sign together and one of them is gone.
02The gap between Latin and German Switzerland is 2.5×, and it is structural
37.1% of audited companies in Fribourg, Geneva, Vaud, Neuchâtel, Jura and Valais are exposed, against 15.1% across German-speaking cantons. Neuchâtel is the most exposed canton in Switzerland at 51.2% — more than half its audited companies. Schaffhausen is the least exposed at 9.0%. The gap follows the legal-drafting convention used when the company was founded rather than anything about company size or sector: Romandie notaries have historically registered a single administrator with individual signature, where German-Swiss practice more often registers two.
03The owner generation is already past retirement age in a third of cases
Where an owner or principal's age can be established, 59.1% of audited companies are led by someone aged 55 or over, and 34.6% by someone 65 or over. Those two facts compound: a company whose sole signatory is 68 is not facing a succession risk in ten years, it is carrying one now.
04Exposure clusters in owner-operated sectors
Construction and building trades carry the largest absolute count of exposed companies, followed by business services, real estate, financial services and healthcare. These are the sectors where a founder is most often the only registered signatory — and, being owner-operated, the sectors where the founder's departure and the ownership transfer are the same event.

- Perimetro
- Active Swiss SA and Sàrl carrying a registered statutory auditor — audit type limited, ordinary, or an auditor confirmed in the register — and at least one board member on file. 49,471 companies as of 17 September 2026. The auditor requirement is the standard proxy for a business above roughly ten full-time employees (art. 727 / 727a CO); without it the population is dominated by dormant single-person holding vehicles and every percentage becomes tautological.
- Classificazione
- Each company is classified from its registered signature rules into one of seven tiers. A company counts as exposed if it is T1 (a single director with no individual back-up), T2a (one individual signer paired with one joint-only signer, no individual commercial agent) or T3a (a two-person board that can sign only jointly). Companies with two or more individual signers, or with a registered individual Prokura as back-up, are treated as protected.

- Swiss Commercial Register (Zefix) filings and cantonal register excerpts, refreshed September 2026. Owner age is an estimate derived from register and public-profile signals and is available for 25,857 of the 49,471 companies; age percentages are stated on that known-age subset, not on the full universe.
- Limiti
- This measures legal signing capacity, not commercial readiness. A company with two individual signers may still have no succession plan, and a solo-director company may have a shareholders' agreement that resolves the problem privately — the register cannot see either. Owner age is an estimate, and the known-age subset skews toward companies with a public profile. The auditor proxy is a proxy: some genuine SMEs opt out of audit and fall outside this universe.
