    Completed 1 August, announced 3 August. The Czech KKCG group's IT arm takes the Swiss-headquartered supply-chain traceability business from dentsu, with roughly 60 technology specialists across Switzerland and Spain. The work is regulated-sector track-and-trace for governments and multinationals — sticky, compliance-driven revenue. Lenz & Staehelin advised on the Swiss side.

    German private-equity house NORD Holding adds the Swiss softgel specialist to its 1Q Health platform — the fifth bolt-on since the group was formed and the second this year, after EHF Production. Gelpell develops and contract-manufactures softgel, hard and vegetarian capsules and holds patented GELPELL Beads technology. IFBC advised NORD Holding; McDermott acted on the legal side. A Swiss CDMO absorbed into a European roll-up.

    Published 4 August. Merger contract of 19 June 2026 on the balance sheet at 31 December 2025: assets of CHF 3,308,551.79 and third-party liabilities of CHF 4,910,245.17 passed to Jacques du Manoir AG in the same village of Wallbach, a liability excess of CHF 1,601,693.38. The licensed audit expert confirmed subordinations covering both the capital loss and the over-indebtedness. One shareholder holds every share on both sides, so no capital increase and no share allotment. Roamer AG is deleted; the Roamer brand has sold Swiss watches since 1888.

    simpego Versicherungen AG

    acquise par Visana Allgemeine Versicherungen AG

    Pax Holding sold its 61.33 per cent majority and Visana took out every minority holder, including Munich's die Bayerische, which exits Switzerland entirely. simpego was founded in 2016 as Dextra Versicherungen AG and wrote CHF 55.27m of gross premiums in 2025; around 70 jobs are retained. A Swiss health insurer buying a Swiss digital non-life carrier is the clearest domestic consolidation print of the week.

    Effective 1 August, announced 5 August. Pagani Pens SA of Cadempino, the company behind PRODIR, bought the operations of the Groß-Bieberau pen maker from the administrator of its March insolvency. The German plant stays open, around 120 jobs are preserved, and SENATOR continues as a separate brand. Baker McKenzie advised the buyer.

    Published 5 August. Merger contract of 23 June 2026: assets of CHF 12,464,375 and third-party liabilities of CHF 4,550,649 passed to Faiveley Transport Schwab AG of Schaffhausen. The notice states that the acquiring company's own balance sheet shows over-indebtedness, and that the transferring company holds freely disposable equity covering it. Same owner on both sides, both under Wabtec Corporation. The solvent entity was used to repair the other.

    LevelTen Energy

    ABB took a minority stake in LevelTen Energy, the US marketplace for clean-energy procurement, alongside a commercial partnership. Terms were not disclosed. A megacap minority investment in a foreign platform: relevant to ABB's electrification strategy, and to anyone selling grid software, but not to Swiss mid-market ownership. No Swiss entity changed hands and no Swiss balance sheet moved.

    Aroma-Zone

    Exclusive negotiations announced 6 August, not a signed deal. Aroma-Zone turned over EUR 300m in 2025, up 52 per cent, having more than tripled revenue since Eurazeo invested in 2021, with over five million active customers. At EUR 2bn that is roughly 6.7 times 2025 revenue, both figures disclosed. Eurazeo would take about EUR 576m gross and keep a significant minority.

    Majority stake in the UK-headquartered data-centre power specialist, announced the same day as the Aroma-Zone talks. Funded from the fourth direct infrastructure programme, which closed above USD 15bn in July. AVK builds back-up generation, behind-the-meter microgrids and modular power units; management retains a minority.

    Published 5 August. Merger contract of 10 June 2026 on the balance sheet at 31 December 2025: Biotta AG of Tägerwilen absorbed its own parent, taking over CHF 29,718,731.33 of assets and CHF 45,177.40 of third-party liabilities. The notice records that those assets consist of all the shares of the absorbing company. No capital increase, because the parent's shareholder receives the own shares acquired in the merger. Biotta has belonged to the listed ORIOR group since 2018. This is the week's largest Swiss absorption by some distance.

    Published 3 August. Merger contract of 24 May 2026: assets of CHF 166,473.25 against third-party liabilities of CHF 3,308.50, both companies in Unterengstringen. Unremarkable in itself, except for the comparison — this was the largest Swiss business to change hands between genuinely unrelated parties all week. The next was VARISTOR AG of Freienbach taking Karl Schlumpf AG of Baden, at CHF 104,787.34.

    Pixi (IP acquired from inscribe)

    acquise par zvoove Group

    Announced 11 August. zvoove bought the intellectual property behind Pixi, a WhatsApp-based onboarding agent for temporary workers, from Roger Tobler, founder of the Swiss AI-automation firm inscribe. Pixi goes to zvoove customers in Switzerland. This is a carve-out of an asset, not of a company: the founder sold the IP and kept the business, which is how most small Swiss software exits actually look and why they rarely register as M&A anywhere.

    Definitive agreement signed 14 August. Thirteen properties, 4,112 units across nine US states, into a two-vehicle joint venture: Brookfield 90 per cent, Varia US 10 per cent, with up to USD 200 million of further Brookfield equity available for acquisitions. Four properties remain wholly owned by Varia US. The figure is the gross asset value of a property portfolio, not a company price, so no acquisition multiple exists here.

    Published 11 August. Merger contract of 19 June 2026 on a balance sheet at 31 March: assets of CHF 1.12 million and third-party liabilities of CHF 1.02 million pass to the absorbing company, with no capital increase because it already holds every share. SALESIANER announced the purchase in July 2025; the register dates the legal completion thirteen months later, and the same notice hands sole signature to Phillip-Sebastian Marchl in Vienna.

    Published 12 August. Saras Trading SA is struck from the register following merger, with assets and third-party liabilities taken over by Vitol Holding SARL of Geneva. Both sides sit inside the same commodities group: this is internal consolidation, not a change of owner.

The absorbing company already held all the shares, so no capital increase followed. The French accounting group tidying up a Fribourg acquisition it had already made.

Again the absorbing company held all the shares beforehand. A small Vaud electrical consolidation reaching its legal conclusion.

    Ascend Sport Technology AG

    Ad-hoc release of 17 August confirming advanced discussions, not a signed deal. EvoNext is the listed remnant of a Swiss fermentation-ingredients business that sold its operations to Danstar Ferment in 2023; Ascend, of Kriens, runs AI-driven virtual advertising boards around football pitches and was deployed at the 2026 World Cup. The structure implies CHF 2.50 per existing EvoNext share and values Ascend at CHF 500-600 million. EvoNext closed 33 per cent higher at CHF 2.65.

    Completed 14 August, announced 18 August. Columna Capital sells the majority of a twenty-clinic Romandie dental group with about 450 staff; management reinvests for a significant minority and co-CEOs Mark Bischof and Yves Corthésy remain. Columna entered at end-2019. Ardentis stays operationally independent. Terms undisclosed.

    Announced 18 August. The listed Andersen Group buys the Swiss member firms that previously only licensed its brand, moving them from private shareholders into direct ownership. Walder Wyss acted for the buyer, led by corporate partner Stefano Codoni with tax partner Marius Breier. Watch the mechanism rather than the size: professional-services networks are converting affiliation agreements into balance-sheet consolidation, one jurisdiction at a time. Terms undisclosed.

    Announced 19 August. Omya, the privately held calcium-carbonate producer, buys an Abu Dhabi processing business to serve Gulf customers from local capacity rather than European exports. A Swiss industrial adding a downstream plant in a growth market, with no terms disclosed and no Swiss employment consequence.

    Fermacell (James Hardie's European walling and flooring business)

    Announced 20 August. Holcim buys Fermacell for EUR 840 million: Düsseldorf headquarters, around EUR 430 million of 2026 net sales, six plants serving thirteen European markets, more than 1,000 staff, and the fermacell and Aestuver fibre-gypsum and cement-board brands. Holcim guides to roughly EUR 22 million of run-rate EBITDA synergies by year three, and expects to close in the first half of 2027 subject to clearance. About two times sales on the disclosed figures.

    Published 18 August. A new company, Garage Alizé SA, was incorporated on statutes of 15 June with CHF 100,000 of capital and took part of Alizé Invest's assets in kind under the same contract — CHF 4.25 million of assets against CHF 3.2 million of third-party liabilities — for 100 registered shares. Alizé Invest was founded in 1988 and holds the Alfa Romeo, Jeep and Fiat franchises in Collombey. Antonio Urgese is president of the new company and his son Jeremy sits on both boards.

    Published 21 August. Under a demerger plan of 2 July, M.V.D. Holding split CHF 34.1 million of assets into a newly incorporated MDOL Holding AG, against third-party liabilities of just CHF 8,437, with the sole shareholder receiving 1,000 shares. Both companies hold participations and real estate; the new one sits c/o Dolder AG in Basel, and Matthys and Stephanie Dolder have run the original since at least 2014. A portfolio that size with almost no debt does not divide for operational reasons.

    Published 18 August. The RONAL GROUP holding absorbs its own research and development company on a merger contract of 6 August: CHF 21.1 million of assets, CHF 12.0 million of third-party liabilities, CHF 9.0 million net. Ron AG was the group's light-alloy wheel R&D and toolmaking arm; Alexandra Bendler took the chair in February. Development moves onto the parent's balance sheet and nothing changed hands.

    GC Europe AG, Lucerne

    Published 20 August. The Swiss headquarters of the Japanese dental group GC absorbs its European holding subsidiary: CHF 52.2 million of assets against CHF 20.0 million of liabilities, CHF 32.3 million net. GC moved its global headquarters to Switzerland in 2023 and had already folded the premium dental-aesthetics brand Creation Willi Geller into GC Europe. The intermediate layer is now gone. No change of ownership.

    Announced 24 August. The Czech BHM Group's medical-technology platform takes its eighth company, adding premium mobile operating tables and orthopaedic accessories sold in over 75 countries to ALVO Medical, Brandon Medical, FAMED Żywiec, medifa, PROTEC, Rein Medical and Tedisel Medical. Combined group revenue exceeds EUR 150 million. Jan Izák chairs, Dr Markus Keussen is chief executive, Reto Sieber continues to run Schaerer. Terms undisclosed.

    Announced 24 August. Switzerland's two competing digital-health platforms combine into Compassana-Well AG, backed by eleven hospital, provider and insurer shareholders whose books together cover around 70 per cent of the insured population. Operations start 1 January 2027, subject to regulatory clearance. This is a shareholder consolidation rather than a purchase: the same insurers funded both platforms and have stopped paying twice for one network.

    Clariant Additives aluminium dyes plant, Muttenz

    Signed 25 August. A step-down subsidiary of the Indian pigment maker Sudarshan buys the Muttenz plant that has manufactured its own aluminium dyes portfolio for years — the Sanodal, Sanodure, Sanodye and Anodal brands — for a base price of CHF 7 million plus inventory, closing around 4 January 2027. A supply relationship converted into ownership of the asset. The dyes colour anodised aluminium for automotive, consumer electronics and packaging.

    Announced 27 August. Bystronic has signed to buy the Denges robotics company, including rights to its software and its simultaneous pick-and-place kinematics, which move parts continuously instead of returning empty-handed. Isochronic was founded in 2020 and carries twelve patents on our records against an estimated CHF 7.8 million of revenue. Armin Haller, registered as board president in August 2025, stays as chief executive; Domenico Iacovelli leads Bystronic. Isochronic keeps its name. Terms undisclosed.

    Published 25 August. Under a contract dated 25 June, CHF 6.2 million of assets and CHF 3.3 million of third-party liabilities transferred to Grueb AG of Fischingen. Consideration: none. Grueb AG was itself incorporated only on 16 June 2026, nine weeks earlier, with CHF 100,000 of capital and a purpose spanning property, hospitality services, agricultural and forestry contract work and machinery trading. A civil-engineering business and its plant moved at book value into a company that did not exist in May, and nothing was paid for it.

    Published 27 August. Futurjns AG is struck from the register and its assets and third-party liabilities pass by merger to Hotel Alpenland AG of Lauenen: CHF 6.8 million of assets against CHF 4.4 million of borrowings, CHF 2.3 million net. A Saanenland hotel absorbing a Langenthal company that carries two thirds of its balance sheet in debt is a financing structure being simplified, not an expansion. André Siegrist joined the transferring company's board in October 2025.

    Published 25 August. CHF 3.1 million of assets and CHF 485,000 of liabilities pass to BTFD AG of Egnach on a merger contract of 24 June, and Blockr0x is struck off. The same shareholder holds both, so no capital increase followed. Two crypto-era Thurgau vehicles collapsing into one.
